Corporate Law Whether your transaction is valued at $30,000 or $30,000,000, we have the knowledge and experience to bring it to completion. Our corporate practice is broad-based and international in scope. Clients range in size from new, privately held start-ups to smaller public companies and everything in between. All get the same level of attentiveness and service, as well as the benefit of 20 years of practice in this area. We regularly assist and advise our clients on, among other things:
Formation and dissolution of business entities
- Mergers, acquisitions, and divestitures
- Joint ventures and strategic alliances
- Corporate finance
- Venture capital and private placements
- Cross-border sales and investment transactions
Our philosophy is growth-oriented, but not growth at any cost. We don’t believe that bigger is necessarily better or that growth alone should drive business strategy. We strive to enable each business to maximize the potential that is within its reach.
In addition to his private practice in this area, Neil I. Jacobs is a frequent contributor of articles on corporate law to the Hudson Valley Business Journal and also serves as Adjunct Professor of International Business at the University of Bridgeport.
Emerging Business Just because a business is small doesn’t mean its needs are small. On the contrary, its needs are not only significant, but also significantly different from those of larger businesses. Often, other issues intervene (such as family relationships), which many lawyers will ignore. Not us. Our small business practice is integrated, bearing on all the issues that affect small businesses. We focus not only on formation, structuring management, and financing, but also:
- Business dispute resolution
- Referrals to local, national, and international contacts
- Whether your business was set up to be sold off in two years or to be kept for life, we’re here to help you.
Intellectual Property and Technology Intellectual property rights drive the economy and are a central part of our practice, as well. We have represented numerous technology companies, international television broadcasters, book and magazine publishers, software developers, record labels, musicians, and visual and performing artists in all areas of their business. Our practice is in the areas of trademark, copyright, and unfair competition, and we have relationships with patent lawyers, as well. Additionally, Neil serves as Managing Editor of the Legal Info Society News Kiosk, a bi-monthly international e-zine on developments in intellectual property, Internet and telecoms law.
Nonprofit Law The nonprofit sector in the United States has been booming recently, and the laws and regulations applicable to them have grown in tandem. We have extensive experience in representing nonprofit entities in all areas of their activities including:
- Formation of entities and obtaining IRS, state, and local tax-exempt status clearance
- Advice on organizational structuring, operations, corporate governance compensation, board liability, and director and officer liability insurance issues
- Structuring for-profit activity and joint ventures with for-profit entities
At N. I. Jacobs & Associates we practice what we preach. Neil I. Jacobs served as President of a nationally based nonprofit entity involved in international relief (increasing revenues 25% during his tenure), co-founded another, and has served as general counsel of more than a dozen nonprofit organizations. He has also acted for several years as a judge in the National Business Plan Competition for Non-Profits, sponsored by the Yale School of Management and the Goldman Sachs Foundation.
Real Estate We have long maintained an active practice in the area of real estate law. Our services include:
- Purchases, sales, and financing of commercial and residential property
- Commercial and residential leasing
